Terms & Conditions of Sale

These Terms and Conditions set out the terms on which Metal & Glass Ltd, trading as Forge Heritage, supplies products to its customers.

Please read these Terms carefully before placing an order with us. By accepting a quotation, placing an order or paying a deposit or other payment in respect of an order, you agree to be bound by these Terms.

References in these Terms to “Forge Heritage”, “we”, “us” or “our” mean Metal & Glass Ltd trading as Forge Heritage.

References to “you” or “your” mean the person or business purchasing Products from us.

2. Our Products

2.1 Forge Heritage supplies traditional and heritage building products, including cast iron rainwater systems, soil pipes, architectural metalwork and associated products and accessories.

2.2 Product photographs, illustrations, descriptions, dimensions and other information shown on our website, literature, quotations or other materials are intended to provide a reasonable representation of the Products.

2.3 Due to the nature of traditional manufacturing processes and materials, Products may exhibit minor variations in dimensions, finish, colour, surface texture and appearance. Such variations do not necessarily constitute a defect.

2.4 Colours displayed on screens, photographs, printed literature or samples may vary from the appearance of the finished Product.

2.5 Unless expressly agreed otherwise in writing, dimensions and specifications are subject to reasonable manufacturing tolerances.

2.6 All Products are subject to availability.

3. Traditional and Cast Products

3.1 Many Forge Heritage Products are manufactured using traditional materials and processes.

3.2 Cast iron and other traditionally manufactured Products may naturally display minor surface variations, casting marks, texture variations and other characteristics associated with their manufacture.

3.3 These characteristics are part of the nature of the material and manufacturing process and will not normally constitute a defect provided that they do not materially affect the intended performance of the Product.

3.4 Customers should ensure that Products are handled, stored, prepared, installed, finished and maintained appropriately for the material concerned.

4. Product Information and Suitability

4.1 It is your responsibility to ensure that the Products ordered are suitable for their intended application.

4.2 Any advice we provide is given based on the information made available to us.

4.3 You are responsible for providing complete and accurate information regarding dimensions, quantities, specifications and intended use.

4.4 Where appropriate, installation should be undertaken by a suitably competent or qualified person.

4.5 Unless expressly included in our quotation, we do not accept responsibility for site surveys, measurements, structural calculations, installation design or confirming that a Product is suitable for a particular building or application.

5. Quotations and Prices

5.1 Prices displayed on www.forgeheritage.co.uk may be shown as indicative or “prices from” figures.

5.2 Unless expressly stated otherwise, website prices do not constitute an offer to supply a Product at that price.

5.3 The final price will depend upon the Product, size, specification, finish, quantity, delivery requirements and any other options selected.

5.4 Where appropriate, we will provide a written quotation confirming the Products, specification and price.

5.5 Quotations are valid for the period stated on the quotation. If no validity period is stated, a quotation will normally remain valid for 30 days from its date.

5.6 We reserve the right to correct clerical, typographical or pricing errors.

5.7 If an error is identified before an order is accepted, we will notify you and provide the option of proceeding at the correct price or cancelling the proposed order.

5.8 Prices are subject to VAT at the applicable rate unless expressly stated otherwise.

5.9 Delivery charges are additional unless expressly included in our quotation.

6. Placing an Order

6.1 Products may be ordered following an enquiry made through our website, by telephone, by email or through another method agreed with us.

6.2 Submission of an enquiry does not create a contract between you and us.

6.3 An order is subject to our acceptance.

6.4 A Contract between us will normally come into existence when:

6.5 By paying a deposit or making payment against our quotation, you confirm your acceptance of these Terms.

6.6 Please check all quotations, specifications, quantities, dimensions, finishes and delivery details carefully before placing your order.

7. Bespoke and Made-to-Order Products

7.1 Certain Products may be manufactured, altered, finished or sourced specifically to your requirements.

7.2 You are responsible for ensuring that all measurements, specifications, drawings and other information supplied to us are accurate.

7.3 We cannot accept responsibility where Products have been manufactured correctly in accordance with information or measurements supplied by you but subsequently prove unsuitable.

7.4 Bespoke, made-to-measure, specially finished or custom-made Products cannot normally be cancelled or returned once manufacture, procurement or finishing has commenced.

7.5 Where you request cancellation of a bespoke order before completion, we reserve the right to retain any deposit and/or charge for materials, labour, design, administration and other costs already incurred.

7.6 Nothing in this clause affects a consumer’s statutory rights in relation to Products which are faulty or not as described.

8. Changes to Orders

8.1 Once an order has been accepted, changes may only be made with our agreement.

8.2 Requested changes may affect the price and delivery date.

8.3 If work has already commenced or materials have been ordered, additional charges may apply.

8.4 We will advise you of any material additional costs before proceeding with an agreed change wherever reasonably practicable.

9. Payment

9.1 Payment terms will be stated on our quotation, invoice or Order Confirmation.

9.2 We may require full payment or a deposit before accepting or commencing an order.

9.3 Bespoke or made-to-order Products may require a deposit of up to 50% or such other amount as specified in our quotation.

9.4 Unless otherwise agreed in writing, all outstanding balances must be paid before Products are dispatched or collected.

9.5 Payment may be made using the payment methods advised by us.

9.6 An order will not be treated as paid until cleared funds have been received.

9.7 For business customers, we reserve the right to charge interest and recover reasonable debt recovery costs in respect of overdue payments in accordance with applicable legislation.

10. Delivery

10.1 Any delivery date or lead time provided by us is an estimate unless we expressly agree in writing that a particular delivery date is guaranteed.

10.2 Lead times may vary depending upon Product availability, manufacturing requirements, finishing, quantities and circumstances outside our reasonable control.

10.3 Bespoke and made-to-order Products may have longer lead times, which we will advise wherever reasonably possible.

10.4 Delivery is complete when the Products are delivered to the address specified by you or collected from us by you or a carrier arranged by you.

10.5 You are responsible for ensuring that appropriate access is available for delivery.

10.6 Additional charges may apply where a delivery cannot be completed because:

10.7 Unless expressly agreed otherwise, delivery does not include unloading, positioning, installation or removal of packaging.

11. Inspection on Delivery

11.1 Products should be inspected as soon as reasonably practicable following delivery.

11.2 Any obvious damage, breakage or shortage should be recorded on the carrier’s delivery documentation wherever possible.

11.3 Please notify us promptly if Products arrive damaged or quantities are incorrect.

11.4 Business customers should notify us of visible delivery damage or shortages within 24 hours of delivery wherever reasonably possible.

11.5 Products should not be installed if they are visibly damaged or incorrect. Please contact us before installation.

11.6 Nothing in this clause limits the statutory rights of consumers.

12. Risk and Ownership

12.1 Risk in the Products passes to you when delivery or collection is completed.

12.2 Ownership of the Products will not pass to you until we have received payment in full for the Products and any applicable delivery charges.

12.3 For business customers, until ownership passes to you, you must take reasonable care of the Products and keep them identifiable as Products supplied by Forge Heritage where reasonably practicable.

13. Consumer Cancellation Rights

13.1 If you are a consumer purchasing standard Products at a distance, you may have a legal right to cancel your Contract under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

13.2 In general, this provides a 14-day cancellation period beginning on the day after you receive the Products, subject to the applicable legislation.

13.3 This cancellation right does not normally apply to Products that are:

13.4 To exercise a cancellation right, please notify us clearly in writing.

13.5 Where a valid cancellation relates to standard Products already delivered, you must return the Products within the applicable statutory period.

13.6 Unless the Products are faulty or not as described, you will normally be responsible for the cost of returning them.

13.7 Products should be returned in a condition consistent with reasonable inspection. We may make a deduction from a refund where permitted by law if Products have been handled beyond what would reasonably be necessary to establish their nature, characteristics and functioning.

13.8 Nothing in these Terms affects your statutory rights.

14. Returns by Business Customers

14.1 Business customers do not have an automatic right to return Products because they have changed their mind or no longer require them.

14.2 Returns of standard Products by business customers are therefore at our discretion and must be agreed by us in advance.

14.3 Where we agree to accept a return, a restocking charge may apply.

14.4 Unless otherwise agreed by us, the restocking charge may be up to 65% of the invoice value of the returned Products.

14.5 Bespoke, made-to-order, made-to-measure or specially finished Products are non-returnable unless faulty or incorrectly supplied.

14.6 The customer is responsible for return carriage costs unless the Products are faulty or incorrectly supplied.

15. Faulty or Incorrect Products

15.1 If you believe a Product is faulty, damaged or has been supplied incorrectly, please contact us as soon as reasonably possible.

15.2 We may request photographs, measurements or other information to enable us to investigate the issue.

15.3 We may also require the Product to be returned or made available for inspection.

15.4 Where we confirm that a Product is defective or has been incorrectly supplied, we will provide an appropriate remedy in accordance with your legal rights and these Terms.

15.5 Depending upon the circumstances, this may include repair, replacement or refund.

16. Warranty

16.1 Unless a different warranty is expressly stated for a particular Product, Products supplied by Forge Heritage are warranted to be free from material manufacturing defects for 12 months from delivery.

16.2 This warranty does not cover defects or deterioration resulting from:

16.3 Where Products are supplied with a separate manufacturer’s warranty, the terms of that warranty will apply.

16.4 Any warranty we provide to consumers is in addition to, and does not replace, their statutory rights.

17. Finishes and Maintenance

17.1 The durability and appearance of traditional metal Products depend upon correct preparation, installation and ongoing maintenance.

17.2 Where Products are supplied primed rather than with a final protective finish, they may require appropriate preparation and finishing before or shortly after installation.

17.3 Customers and installers are responsible for following appropriate preparation, painting, installation and maintenance procedures.

17.4 Failure to protect or maintain a Product appropriately may invalidate any applicable warranty where the failure has caused or contributed to the defect.

18. International Delivery

18.1 International delivery may be available by arrangement.

18.2 Products delivered outside the United Kingdom may be subject to import duties, taxes, customs charges and other fees.

18.3 Unless expressly agreed otherwise, these charges are the responsibility of the customer.

18.4 You are responsible for ensuring that Products comply with applicable laws, regulations and requirements in their destination country.

19. Our Liability to Business Customers

19.1 This clause applies only where you are purchasing Products wholly or mainly for business purposes.

19.2 Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:

19.5 Except where expressly agreed in writing, we do not accept responsibility for determining whether a Product is suitable for a customer’s particular application.

20. Our Liability to Consumers

20.1 If you are a consumer, we are responsible for loss or damage which is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.

20.2 We are not responsible for loss or damage that is not foreseeable.

20.3 Products supplied to consumers are intended for domestic and private use unless otherwise agreed.

20.4 Nothing in these Terms excludes or limits our liability where doing so would be unlawful or affects rights which cannot legally be excluded.

21. Events Outside Our Control

21.1 We will not be responsible for delay or failure to perform our obligations where this results from circumstances beyond our reasonable control.

21.2 These circumstances may include, without limitation:

21.3 Where such an event affects an order, we will take reasonable steps to inform you and minimise the effect of the delay.

22. Intellectual Property

22.1 All content on the Forge Heritage website, including text, photographs, illustrations, drawings, graphics, logos and other materials, is owned by or licensed to Metal & Glass Ltd unless otherwise stated.

22.2 Such materials may not be reproduced or used commercially without our prior written permission.

23. Personal Information

We process personal information in accordance with the Forge Heritage Privacy Policy, available on our website.

24. Communications

24.1 References to communication “in writing” include email.

24.2 Notices and communications relating to an order may be sent using the contact details provided by you.

24.3 You are responsible for ensuring that the contact information supplied to us is accurate and kept up to date.

25. Other Important Terms

25.1 We may transfer our rights and obligations under a Contract to another organisation. This will not affect your rights under the Contract.

25.2 You may only transfer your rights or obligations under a Contract with our prior written agreement.

25.3 A Contract is between you and us. Unless expressly provided otherwise, no other person has a right to enforce its terms.

25.4 Each clause of these Terms operates separately. If any provision is found to be unlawful or unenforceable, the remaining provisions will continue in full force and effect.

25.5 If we delay in enforcing any right under these Terms, this does not mean that we have waived that right.

26. Changes to These Terms

26.1 We may update these Terms from time to time.

26.2 The Terms applicable to your order will normally be those in force when the Contract between you and us is formed.

26.3 The latest version will be published on www.forgeheritage.co.uk.

27. Governing Law

27.1 These Terms and any Contract between you and us are governed by the laws of England and Wales.

27.2 If you are a consumer, you may bring legal proceedings in the courts applicable under your statutory rights.

27.3 If you are a business customer, the courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising from or in connection with the Contract.
